Terms of Service
These terms govern use of Front Office, an operations and intelligence platform for professional baseball clubs, provided by TMS&J Marketing, LLC, trading as 3AM Solutions ("we", "us"). By signing in, you agree to them.
Where a separate written agreement exists between 3AM Solutions and a club covering fees, term, service levels, or data handling, that agreement governs and these terms fill any gaps.
1. Access
Front Office is licensed to clubs, not to individuals. A club's authorized administrator grants access to its staff. Accounts are personal: do not share credentials, and tell us promptly if you believe an account has been compromised.
Access ends when your club's agreement ends or when your club removes your account.
2. The club's data belongs to the club
All data a club enters, uploads, or connects to Front Office remains the club's property. We claim no ownership of it. We use it only to operate the platform for that club, as described in our Privacy Policy.
A club may request an export of its data at any time.
3. Connected systems
Front Office can connect to a club's ticketing system and to QuickBooks Online. Connecting them is the club's decision and requires authorization by someone entitled to give it.
QuickBooks access is read-only. Front Office retrieves account and balance information in order to display expense actuals against budget. It cannot create, alter, or delete anything in a club's accounting records. Access may be revoked by the club at any time from within QuickBooks Online.
4. What the numbers are, and are not
Front Office presents figures drawn from a club's own systems. Where data is retrieved on a schedule rather than continuously, the platform shows figures as of the last retrieval and labels them accordingly.
Accounting figures shown in Front Office are not a substitute for a club's books of record. Nightly accounting figures reflect what has been entered in the club's accounting system at the time of retrieval, and will not include unposted transactions, accruals, or period-end adjustments. They are an operating indicator. Financial statements, tax filings, and audits must rely on the club's accounting system and its accountants, not on this platform.
5. Acceptable use
You agree not to:
- attempt to access data belonging to a club you are not authorized for
- probe, scan, or test the security of the platform without written permission
- extract personal data for purposes unrelated to the club's operations, including unsolicited marketing that the individual has not consented to
- reverse engineer, resell, or sublicense the platform
- upload malicious code, or use the platform unlawfully
6. Availability
We aim to keep Front Office available continuously but do not guarantee uninterrupted service. The platform depends on third-party infrastructure and on data feeds from systems we do not control. Scheduled maintenance will be notified where practical.
7. Intellectual property
The platform, its design, and its underlying software are owned by 3AM Solutions. These terms grant a limited, non-exclusive, non-transferable right to use it for the duration of a club's agreement, and nothing more.
8. Confidentiality
Club data is confidential. We will not disclose it to third parties except the service providers listed in our Privacy Policy, or where required by law. Likewise, you agree not to disclose non-public information about the platform to third parties.
9. Warranties and liability
Front Office is provided on an "as is" basis. To the fullest extent permitted by law we disclaim implied warranties of merchantability and fitness for a particular purpose.
We are not liable for indirect, incidental, or consequential damages, or for lost profits, arising from use of the platform. Our total liability in any twelve-month period will not exceed the fees paid by the club in that period.
Nothing here limits liability that cannot lawfully be limited.
10. Termination
Either party may terminate as set out in the club's agreement. On termination, access ends and we will return or delete club data at the club's direction as described in our Privacy Policy.
11. Changes
We may update these terms. Material changes will be notified to clubs, and the date above will be revised. Continued use after notice constitutes acceptance.
12. Governing law
These terms are governed by the laws of the State of Maryland, United States, without regard to conflict of law rules.
